Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the websites, mobile applications, and other online products and services provided by Stylee Inc. (“Stylee,” “we,” “us,” or “our”) (collectively, the “Services”).

Stylee is currently offered as an early-access wardrobe and outfit-planning product. Some features may change, be limited, or be removed while we continue developing the Services.

1. Acceptance of Terms

By creating an account for, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement of a parent or legal guardian who agrees to these Terms on your behalf.

3. Your Account and Sign-In Methods

You are responsible for the accuracy of your account information and for maintaining the security of the email account, third-party sign-in account, device, and verification method you use to access Stylee. You are also responsible for activity that happens under your account. Notify us promptly at legal@trystylee.com if you believe your account has been accessed without authorization.

4. Limited License and Acceptable Use

Subject to these Terms, Stylee grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use.

You may use the Services only in compliance with applicable law and these Terms. You may not:

• use the Services to break the law or infringe another person's rights;
• upload content that you do not have the right to use or share;
• interfere with the operation or security of the Services;
• reverse engineer, scrape, or attempt to gain unauthorized access to the Services or related systems; or
• use the Services to distribute spam, malware, or other harmful material.

5. User Content

You retain ownership of the photos, text, outfit details, and other content you submit to Stylee. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, and process that content as needed to operate, secure, troubleshoot, improve, and support the Services.

You are responsible for the content you submit and represent that you have all rights needed to provide it to us.

6. Feedback

If you send us suggestions, ideas, or other feedback about the Services, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

7. Intellectual Property

The Services, including our software, branding, design, and content other than user content, are owned by Stylee or our licensors and are protected by applicable intellectual property laws.

8. AI Features and Generated Suggestions

Some features use automated systems to analyze images or generate suggestions. These outputs are provided for convenience and inspiration only. They may be incomplete, inaccurate, biased, unavailable, or unsuitable for your needs. You should use your own judgment when evaluating any output, and Stylee does not guarantee fit, availability, or appropriateness for any particular occasion, weather, or purpose.

AI-generated output is not medical, legal, financial, or other professional advice.

9. Availability, Suspension, and Termination

The Services are provided on an experimental, evolving basis. We may change features, impose limits, suspend access, or discontinue parts of the Services at any time, with or without notice.

We may suspend or terminate your access to the Services if we believe you have violated these Terms, created risk for other users or for us, or used the Services in a way that could cause harm. You may stop using the Services at any time.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the extent permitted by law.

To the fullest extent permitted by law, we do not warrant that the Services will be uninterrupted, secure, error-free, or that any content, recommendations, or AI-generated output will be accurate, complete, or suitable for your needs.

11. Limitation of Liability

To the maximum extent permitted by law, Stylee and its directors, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, goodwill, or business interruption arising out of or related to your use of the Services.

To the maximum extent permitted by law, the total aggregate liability of Stylee and its directors, officers, employees, and service providers for claims arising out of or related to the Services or these Terms will not exceed the greater of $100 or the total amount you paid to Stylee for the Services during the 12 months before the claim arose.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

12. Indemnification

To the fullest extent permitted by law, you will indemnify, defend, and hold harmless Stylee and its directors, officers, employees, and service providers from and against third-party claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your submitted content, your misuse of the Services, your violation of these Terms, or your violation of another person's rights or applicable law.

13. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. To the extent permitted by law, any dispute that is not subject to another required forum will be resolved exclusively in the state or federal courts located in Delaware, and you and Stylee consent to those courts' personal jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version here and update the “Last updated” date above. Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.

15. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent, and we may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law. These Terms, together with the Privacy Policy, are the entire agreement between you and Stylee regarding the Services.

Sections that by their nature should survive termination, including ownership, feedback, disclaimers, limitation of liability, indemnification, governing law, and this miscellaneous section, will survive termination of these Terms.
